The Partnership executes its investments based on the investment judgment of the General Partner. While the Partnership aims to achieve target investment returns, the value of its assets may fluctuate significantly due to several factors, including: (i) price volatility of investment securities such as unlisted shares, stock acquisition rights, and bonds with stock acquisition rights; (ii) fluctuations in the assets, earnings, or other valuation benchmarks of portfolio companies; and (iii) changes in the management, financial condition, or creditworthiness of portfolio companies, and related changes in their external valuations.
THEREFORE, THE VALUE OF THE EQUITY INTERESTS COULD FALL BELOW THE PRINCIPAL INVESTED, INCURRING LOSSES EXCEEDING THE INITIAL PRINCIPAL. FOR THOSE REASONS, NO WARRANTIES ARE MADE AS TO THE PRINCIPAL, CERTAIN LEVEL OF INVESTMENT RETURNS, AND/OR COMPENSATION FOR LOSSES.

The equity interests in the Partnership are illiquid, and the transfer of such interests is subject to certain restrictions. Furthermore, under the Limited Partnership Agreement, withdrawal from the Partnership is generally prohibited except in limited circumstances where unavoidable reasons exist. Any distribution to a withdrawing member may be less than the value of their interest at the time of withdrawal, and the timing of such payment may be delayed; consequently, the amount and schedule of any returns are uncertain.
